Description

Under direction from HumanGood’s CLO/General Counsel and with limited supervision, working closely with HumanGood’s Senior Counsel, performs professional level legal generalist work. The Staff Attorney will respond to requests for research and support, draft, review and negotiate contracts with vendors, manage contracts with residents, assist with risk management and regulatory compliance, support governance, and work on special projects as requested. Special emphasis on contract law, tax-exempt finance, healthcare law, laws and regulations governing continuing care retirement communities, and senior services issues. Provides a broad range of services to HumanGood’s legal team and the organization.

Prepares and reviews various legal instruments and documents, such as contracts, leases, licenses, sales, real estate, resolutions, articles of incorporation and bylaws, tax-exempt organization filings, finance documents and certificates, with an emphasis on developing and maintaining standard HumanGood forms and provisions. Helps to manage contracts between HumanGood and residents of HumanGood communities, ensuring compliance with laws and regulations in multiple states and supporting the HumanGood sales team with legal questions relating to sales and contracting with residents. Helps to shape and implement company’s advocacy strategy plan, including tracking developments in legislation and regulations, managing company advocacy efforts, and tracking company participation in trade and industry organizations across the company. Reviews and negotiates or obtains legal advice on agreements with vendors enterprise-wide, such as agreements for managed healthcare and pharmacy services, web-based services, software licensing and technology, marketing, financial and audit services, consulting services, master service agreements and professional service contracts, HIPAA business associate agreements, medical director agreements, equipment maintenance service contracts, leases and financing agreements, and agreements for engineering and construction services. Supports risk management and compliance efforts at all levels of the organization, including developing company-wide standards and training materials to ensure compliance in relevant areas. Interprets laws, rulings, and regulations for individuals and business lines. Addresses issues relating to standard operating procedures, HR, litigation, and corporate matters. Questions may come from operations, sales, management or residents. Advises General Counsel, Senior Counsel and/or management of proposed legislation that might affect the organization. Advises General Counsel, Senior Counsel and/or management on tax matters, government regulations, and/or legal rights. Advises General Counsel, Senior Counsel and/or management concerning major business transactions, including affiliations, joint ventures and reorganization, and supports such transactions as needed (producing, performing and analyzing due diligence, researching applicable law, and helping to supervise legal assistants with administrative support of such transactions). May act as agent of the organization in various transactions. Gathers evidence and information for management decision making. Exercises prudent judgment and common sense in responding to operations concerns. Recommends program and process improvements to General Counsel and Senior Counsel. Prepares and delivers presentations and speeches. Visits communities and meetings at other sites with or without General Counsel as representative of the Legal Department and the CSC. Provides imaginative, thorough and practicable solutions to a wide range of legal issues.

Qualifications

Requires a J.D. from a U.S. accredited law school and admission to the bar in one U.S. state. 3+ years in same or related positions, including position as associate or partner with a law firm, practicing corporate, finance or healthcare law. Licensed to practice law in at least one U.S. State, preferably California, Arizona, Nevada, Washington or Idaho; active member of the bar in current good standing status in that state. Candidates must reside in a state in which HumanGood operates.

This position is remote, with occasional community visits as needed. Candidates must reside in a state in which HumanGood operates. 

Pay Range - 140-180K depending on experience and geographical location
