Role Summary

Under the guidance of the Chief Legal Officer and with minimal oversight, the Staff Attorney collaborates closely with the Senior Counsel to execute a variety of professional legal tasks. This role involves addressing research inquiries, drafting, reviewing, and negotiating contracts with service providers, managing resident agreements, assisting in risk management and regulatory adherence, supporting governance, and engaging in special projects as assigned. A strong focus is placed on contract law, tax-exempt financing, healthcare regulations, and legal matters pertinent to continuing care retirement communities and senior services.

Key Responsibilities

  • Drafts and evaluates a range of legal documents, including contracts, leases, licenses, sales agreements, real estate documents, resolutions, incorporation articles, bylaws, and tax-exempt organization filings, with an emphasis on standardizing forms and provisions.
  • Manages agreements between the organization and its residents, ensuring compliance with multi-state regulations and providing legal support to the sales team regarding resident contracts.
  • Shapes and implements the advocacy strategy, monitoring legislative and regulatory developments, managing advocacy initiatives, and tracking participation in industry organizations.
  • Reviews and negotiates vendor agreements across the organization, including those related to managed healthcare, software licensing, marketing, and professional services.
  • Aids in risk management and compliance efforts, developing organization-wide standards and training materials to promote adherence to relevant laws.
  • Interprets laws, rulings, and regulations for various stakeholders.
  • Addresses inquiries related to operational procedures, human resources, litigation, and corporate matters from diverse departments.
  • Advises on legislative proposals that may impact the organization.
  • Provides counsel on tax issues, government regulations, and legal rights.
  • Offers guidance on significant business transactions, including affiliations and reorganizations, and assists in due diligence and legal research.
  • May represent the organization in various transactions.
  • Gathers evidence and information to support management decision-making.
  • Exercises sound judgment in addressing operational concerns.
  • Recommends improvements to programs and processes to senior legal staff.
  • Prepares and delivers presentations as needed.
  • Engages with communities and attends meetings as a representative of the Legal Department.
  • Provides innovative and practical solutions to a wide array of legal challenges.

Qualifications

  • Juris Doctor degree from an accredited U.S. law school and admission to the bar in at least one U.S. state.
  • Minimum of 3 years of experience in similar roles, including experience as an associate or partner in a law firm, focusing on corporate, finance, or healthcare law.
  • Must be licensed to practice law in at least one U.S. state, preferably California, Arizona, Nevada, Washington, or Idaho, and maintain good standing with the bar.
  • Candidates should reside in a state where the organization operates.
