Position: Corporate Paralegal

Seattle/Bellevue, WA

A privately held investment office is seeking a
Corporate Paralegal
to work closely with external counsel and provide legal support across a wide range of corporate functions. The position involves day-to-day entity management, transaction support, and oversight of corporate records.

Key Duties

  • Oversee ongoing governance requirements for multiple business entities, including maintaining minute books and preparing annual consents and resolutions for corporations, LLCs, and partnerships.
  • Draft, file, and track annual reports and other statutory filings across U.S. and international jurisdictions.
  • Keep corporate databases current, including entity rosters and property ownership records.
  • Handle registrations, withdrawals, and related compliance filings in foreign jurisdictions.
  • Review governance and transactional documents such as operating agreements, management contracts, and related instruments.
  • Organize and maintain closing sets for acquisitions, dispositions, financings, and joint ventures, ensuring that corporate records are promptly updated.
  • Maintain comprehensive electronic records for all entities.
  • Provide administrative and document support, including proofreading, redlining, correspondence, policy review, and preparation of binders and labeling systems.
  • Perform additional responsibilities as needed.

Qualifications

  • Bachelor's degree required.
  • Minimum of three years' experience as a corporate paralegal within a law firm or an in-house legal department.
  • Demonstrated experience in entity maintenance and governance, with hands-on management of corporate records for corporations, LLCs, and partnerships.
