Position Description Corporate Transactional Paralegal Location Seattle, WA Stoel Rives LLP  has an immediate opening for a  Corporate Transactional Paralegal in our  Portland , Sacramento , San Diego , San Francisco , or Seattle  office. This position assists attorneys in the delivery of legal services to the firm’s clients and works under the direction of the firm’s lawyers and, in many instances, directly with clients. The Corporate Transactional Paralegal is a key part of our professional client teams and this assumes responsibility for transactions with a significant project finance component. They are also the first contact point for many of our clients.   Specific job duties ·Draft Operating Agreements, Bylaws, Certificates of Incorporation, Board and Shareholder Consents, Financing Documents, Legal Opinions, Officers Certificates, Notices of Borrowing, other ancillary closing and funding documentation, Warranty and Stock Option documentation, Securities memos and Closing Checklists. ·Prepare structure charts and steps memos. ·Prepare final closing book and draft necessary stock certificates for Mergers and Acquisitions and corporate refinancing/restructuring deals. ·Prepare UCC financing statement filings, amendments and terminations. ·Prepare, distribute and file annual reports and renewals. ·Filing and obtaining employer and tax identification numbers (EINs). ·Manage preparation, assembly and compilation of documents in advance of closing and coordinate signature page gathering directly with client. ·Perform corporate/transactional law and record keeping including entity formation, annual reporting, operating agreements, partnership agreements, loan agreement, equity contribution agreements, joint ventures, corporate structuring, sales, mergers and acquisitions. ·Conduct lien and litigation searches nationwide; analyze and summarize results. ·Maintain and update corporate records and minute books. ·Research and analyze legal sources such as statutes, case law, legal articles, and regulatory sources. ·Communicate regularly with attorneys and clients regarding the status of projects and deadlines and informs attorneys of any issues. ·Manage inventory of closed transaction documentation and locate applicable precedent upon attorney request. ·Download, organize, and inventory due diligence documentation from client-provided data sites. ·Distribute draft documents to opposing counsel and clients. ·Develop and maintain positive relationships with the firm’s clients, title insurance companies, closing agents, administrative agencies, and other outside vendors. ·Occasional travel to attend closing dinners and other client events. ·Train incoming first-year associates and summer associates in corporate formation, corporate governance, document management, closing process and UCC search/filing matters. Supervise case assistants and junior paralegals.   Position requirements ·Bachelors’ degree, or additional four (4) years of applicable experience, preferred.  ·Paralegal certificate and at least 10 years’ experience, including in project finance preferred. ·Must have corporate transactional experience with a demonstratable knowledge of Mergers and Acquisitions; and Project Finance Transactions.    Normal work hours This position is non-exempt and eligible for overtime compensation. Presence at the office during regular office hours, 8:30 a.m. to 5 p.m., Monday through Friday, is essential and the ability to work longer hours is essential during peak workload periods, during fast-moving transactions or in order to communicate with parties in different time zones. How You Will Live Life Well at Stoel Rives: Compensation, Benefits, and More The pay range for this position in the State of Washington is $88,000 - $146,000; however, the base compensation presented to a candidate may vary based on skills and overall experience. This information is provided per Washington’s Equal Pay and Opportunities Act. This salary range is based on market location. In addition to base compensation, Stoel Rives has a total rewards program that includes an annual discretionary bonus and rich benefits offerings. For example, our benefits offerings include paid family & medical leave, competitive PTO, and remote work options. We offer competitive and robust medical, dental, vision, life long-term disability, AD&D, EAP, FSA and Voluntary Life, ADD, and LTC options.
