Job Summary:

The Corporate Development Associate is responsible for supporting the Vice President and Chief Executive Officer to execute the Company's M&A growth strategy. The Associate will manage multiple projects at once with responsibilities across all aspects of the M&A process, including valuation analysis, educating prospective sellers on the value proposition of Thompson Safety, negotiating deal points, supervising and performing due diligence procedures, working with legal counsel to complete documentation to close transactions, and working with the Thompson Safety team to support a successful integration.  

In addition to strong financial analysis skills, it will be critical for the Associate to build a high degree of credibility with business owners in the fire protection services space and other team members at Thompson Safety. Accordingly, the ideal Associate will possess outstanding interpersonal skills, optimism, and adaptability. 

Since growth by M&A is an important strategic pillar for the company, the Associate's work will be highly visible to the Executive Team, Board of Directors, and Investors, and the successful Associate will have an exciting career path and room for growth.

The position requires travel (variable, but at times up to 50%) and willingness to work extended hours depending on deal activity.

Essential Job Functions:

  • Assist with all aspects of the company's M&A activities, including valuation, due diligence, negotiation and integration prep.
  • Assist with internal communication processes for acquisitions and prepare presentation and documentation to communicate acquisitions internally and externally, including investment memorandums and board of director presentations.
  • Communicate and consult with other leaders within Thompson Safety to ensure preparation for acquisition closings.
  • Work with prospects/brokers to gather information necessary to perform financial analysis/valuations.
  • Draft proposals and present to business owners.
  • Negotiate offer letters with acquisition prospects and brokers to the benefit of Thompson Safety.
  • Manage the due diligence process, including working with third party service providers.
  • Travel and organize on-site due diligence meetings.
  • Collaborate with attorneys to negotiate purchase agreements to the benefit of Thompson Safety, mitigating risk as appropriate.
  • Develop and foster relationships with business owners, industry brokers, and Thompson Safety colleagues.
  • Performs other related duties as assigned.

Secondary Functions:

  • Work on sourcing new acquisitions as directed by the leader of M&A.
  • Support the integration process of each transaction.
  • Stay current in the M&A space and industry by obtaining CEU's where appropriate, reading professional publications; maintaining personal networks; participating in professional organizations

Experience & Qualifications:

  • Bachelor's in business or related field required; advanced degree, such as an MBA, preferred.
  • 2-4 years related finance/transactional experience required; experience in project management, preferred.
  • M&A experience, including valuation analysis and due diligence, strongly preferred
  • Ability to manage multiple deals simultaneously and prioritize pipeline opportunities is a must.
  • Strong financial analysis skills with careful attention to detail.
  • Entrepreneurial attitude - must be resourceful and self-directed.
  • Experience working with small business owners, preferred.
  • Ability to maintain confidentiality and protect the integrity of each potential transaction.
  • Strong attitude of personal responsibility, self-motivated, able to work in high pressure situations.
  • Excellent interpersonal, communication and presentation skills.

Physical Requirements:

  • Prolonged periods of sitting at a desk, talking on the phone, attending virtual online meetings, and working on a computer.
  • Must be able to lift up to 15 pounds at times.
  • Must be able to travel.
