POSITION OVERVIEW

Reporting directly to the Chief Legal Officer, the Legal Counsel will provide comprehensive legal support across multiple domains, including general commercial agreements, employment and labor matters, corporate governance, and overseeing the legal department's budget and operations. This role is crucial in ensuring our organization adheres to all applicable laws and regulations while advancing our business goals.

KEY RESPONSIBILITIES

Commercial Agreements

Draft, review, and negotiate a diverse range of commercial contracts, such as sales agreements, supplier contracts, leases, non-disclosure agreements (NDAs), and material transfer agreements (MTAs).

Offer legal guidance on contractual issues to internal stakeholders.

Employment and Labor Matters

Manage legal aspects of employment-related issues, including hiring agreements, separation agreements, benefits, and disputes.

Ensure compliance with employment laws and regulations.

Corporate Governance

Assist with corporate governance tasks, including drafting by-laws, corporate formation documents, and maintaining compliance.

Oversee corporate filings and ensure adherence to state and federal regulations.

Legal Department Management

Supervise the legal department's budget, ensuring the provision of cost-effective legal services.

Implement and manage legal operations systems to improve efficiency.

External Counsel Management

Coordinate and manage relationships with external legal counsel and service providers.

Ensure the delivery of high-quality and timely legal services from external vendors.

QUALIFICATIONS

  • Juris Doctor (JD) degree from an accredited law school
  • 5-8 years of experience, ideally gained through a combination of law firm and in-house roles
  • Strong preference for in-house experience in the consumer packaged goods (CPG) manufacturing sector
  • Technical background in life sciences is preferred
  • Excellent client counseling and communication skills, with the ability to effectively engage with various stakeholders
  • Proven capability to manage multiple tasks and priorities in a dynamic environment
  • Exceptional analytical and problem-solving skills with a strong attention to detail
  • Proactive, solutions-oriented self-starter who works well independently
  • Team-oriented with a collaborative approach to achieving objectives
