We are currently enhancing our drug discovery and development capabilities and are looking for a full-time Senior Paralegal / Manager – Legal Operations to oversee administrative and operational support for corporate governance and contracting activities within our Legal Team.

The responsibilities include managing legal entity formation and maintenance, supporting corporate governance initiatives, maintaining corporate documentation, providing advanced paralegal support, overseeing legal contracting processes, and ensuring compliance with various regulations.

Key Responsibilities
1. Supervise the formation, management, and maintenance of legal entities across various jurisdictions.
2. Collaborate with local legal counsel and corporate secretaries to ensure compliance and good standing of subsidiaries.
3. Maintain comprehensive corporate entity management systems, including records and documentation.
4. Assist in preparing for board meetings, including drafting resolutions and reviewing minutes.
5. Support the Legal and HR Teams with equity administration for employees.
6. Serve as the primary contact for leadership and the Board on legal matters and compliance deadlines.
7. Oversee billing and expense reporting for outside counsel.
8. Manage and mentor the Legal Team Paralegal.
9. Organize and maintain corporate documentation.
10. Support corporate transactions, including due diligence and regulatory filings.
11. Manage cross-functional projects involving various departments.
12. Ensure high-quality legal services through effective legal operations.
13. Handle contract processes from drafting to execution and database management.
14. Assist in maintaining a robust compliance program, including regulatory filings and employee training.
15. Participate in internal committees and initiatives as directed by the General Counsel.
16. Conduct legal research and assist with document proofreading.
17. Perform additional duties as assigned by the General Counsel and Legal Team.
