Job Title: Senior Director, Senior Managing Counsel – Governance

Job Summary:

BNY Mellon is seeking an experienced attorney to join its Corporate Secretarial and Disclosure Group in the Legal Department. The successful candidate will work closely with the Secretary's team, People Team, Investor Relations, and other groups to advise Senior Management and the Board on key governance and executive compensation matters.

Key Responsibilities:
  • Support the Corporate Secretary on all aspects of executive compensation governance, including processes related to the Human Resources and Compensation Committee of the Board of Directors
  • Assist with preparation for Board of Directors meetings, including preparation of meeting agendas and materials, and drafting board minutes
  • Assist with the preparation of BNY Mellon's proxy statement and for the annual meeting
  • Provide support with investor outreach and engagement related to executive compensation and other corporate governance practices throughout the year
  • Advise on executive compensation matters, including related disclosures for BNY Mellon's Exchange Act filings and assessing and advising on BNY Mellon's related policies and practices
  • Manage Section compliance program, including Form and filings
  • Counsel on governance, corporate, and regulatory matters for BNY Mellon's subsidiaries and their boards and committees
  • Stay current on executive compensation and corporate governance trends and best practices, NYSE developments, and translate into clear guidance for Senior Management and key partners across the enterprise
  • Assist with NYSE listing and governance requirements
Requirements:
  • Years of experience with a top-tier law firm; in-house experience preferred, but not required
  • Experience advising public companies on corporate, securities, executive compensation, and equity compensation matters
  • Knowledge of applicable laws, including SEC, Internal Revenue Code, and ERISA rules, regulations, and guidance; experience with bank regulation a plus
  • Excellent written and oral communication, organizational, and project management skills
  • Demonstrated ability to independently manage workload, priorities, and deadlines in a dynamic and fast-paced environment
  • Executive presence, acute attention to detail, and good judgment in consulting with colleagues and clients
  • Juris Doctor degree and in good standing to practice law in the US (NY bar preferred)
