Job Description

The Paralegal, Governance, Securities, and M&A will play a crucial role in supporting the GE HealthCare legal team in overseeing and coordinating U.S. and global securities law compliance, as well as board of directors, shareholder, and other corporate governance matters. This includes providing legal support for corporate finance functions, including treasury, and overseeing other corporate transactions and matters.

The team works closely with internal partners and groups within the Global Law & Policy team, as well as other functions across the business, including controllership/accounting, treasury, tax, financial planning and analysis, strategy, investor relations, human resources, and communications, as well as the board of directors.

This role will also support the GE HealthCare legal team in charge of mergers, acquisitions, and other strategic transactions, which works closely with the business development and strategy team at GE HealthCare.

Key Responsibilities
  • Assist with preparation and organization of board of directors and board committee minutes, materials, and minute books.
  • Assist with administrative matters related to SEC and public company reporting, including proxy statement and annual meetings of stockholders, Section 16 filings, and director and officer matters.
  • Assist with preliminary transaction documents and closing formalities, document archiving, and management of standard forms and due diligence requests, in each case, in connection with mergers, acquisitions, and other strategic transactions.
  • Assist with a variety of other governance and treasury-related matters, including policies and procedures, global equity compensation, and diligence.
  • Perform other related duties as required, including liaising with other departments as needed.
Requirements
  • Bachelor's degree, paralegal certificate from an accredited institution, or high school diploma with at least five years of corporate governance, paralegal, or similar legal or executive administrative experience.
  • Proficient with the Microsoft Office product suite and willingness and ability to learn new corporate governance and other software tools.
  • Strong organizational and administrative skills.
  • Notary public or willingness to obtain within first six months of employment.
