Position Overview:

The role of Corporate Counsel is pivotal within Johns Lyng Group, encompassing responsibilities related to legal, regulatory, compliance, and contract management functions. This position will act as a proactive legal advisor and oversee external legal resources as necessary, particularly in matters of collections, litigation, and critical contract negotiations. The role demands a comprehensive range of legal services and support across various organizational departments, offering legal insights, guidance, and solutions to business-related issues. Strong analytical and problem-solving capabilities, the ability to manage multiple priorities, and exceptional communication skills are essential.

Key Qualifications:

  • Juris Doctor and Bachelor's Degree (Required)
  • Admission to the State Bar of Colorado, Texas, California, or Florida is mandatory.
  • A minimum of 3-5 years of experience in a corporate legal environment or law firm, focusing on corporate compliance and contract drafting.
  • Familiarity with the lifecycle of building construction contracts and various contract types.
  • Robust understanding of corporate law, contract law, and regulatory compliance.
  • Knowledge of mechanic's lien statutes and filing processes.
  • Exceptional writing and negotiation skills.
  • Strong project management abilities, capable of managing multiple projects and meeting deadlines.
  • Excellent analytical and problem-solving skills to identify risks and develop effective mitigation strategies.
  • Outstanding communication and interpersonal skills, facilitating collaboration with stakeholders at all organizational levels.
  • Knowledge of risk management assessment, evaluation, and audit best practices.
  • High integrity and the ability to maintain confidentiality.

Key Responsibilities:

  • Oversee the company's contracting practices; draft, update, and communicate related policies and procedures.
  • Draft, review, and negotiate a variety of contracts and legal agreements, including vendor and client contracts, proposals, and leases.
  • Manage the organization's risk management and insurance programs.
  • Develop and implement efficient policies governing contract administration and risk mitigation.
  • Ensure compliance of all legal documents with applicable laws and company policies.
  • Oversee corporate compliance for the company and its affiliates; maintain all corporate governance documents, minutes, resolutions, and agreements.
  • Collaborate with various departments (e.g., HR, finance, IT, sales, marketing, operations) to provide legal support aligned with company objectives.
  • Research and interpret existing laws and regulations, anticipating changes to guide informed decisions and ensure legal compliance.
  • Coordinate responses to legal complaints, claims, lawsuits, subpoenas, and depositions, working with insurance brokers and outside counsel.
  • Promote organization-wide understanding of risks and risk management strategies through training and other initiatives.
  • Manage business licenses, trade names, and compliance items related to operational capabilities in various jurisdictions.
