Job Overview

Gould & Ratner LLP is on the lookout for a seasoned Associate to enhance its Corporate Practice. The preferred candidate will possess a minimum of six years of expertise in transactional and corporate governance issues, encompassing mergers and acquisitions, corporate structuring (formation and reorganization), and various corporate agreements (operating agreements, licensing agreements, employment contracts, service agreements, buy/sell agreements, distribution agreements, etc.). Additionally, experience in joint ventures, divestitures, and corporate finance transactions, including both secured and unsecured lending activities (negotiating loan and security agreements, syndicated credit facilities, and familiarity with UCC/securities law compliance) is essential.

This role offers the opportunity to engage in all facets of intricate transactions for a diverse clientele across multiple industries. The selected attorney will benefit from direct client engagement, business development opportunities, and substantial responsibility in handling complex legal matters. Key Responsibilities

  • Efficiently draft transaction agreements and documents with clarity, negotiate deal terms, manage transaction closings, and conduct comprehensive factual and legal research and analysis.
  • Possess 6-9 years of experience in corporate transactional law, including drafting purchase and sale agreements, service level contracts, disclosure schedules, operating agreements, and other general corporate/transactional work.
  • Experience in drafting and reviewing compliance loan agreements, security agreements, and other financing documents is advantageous.
  • Exhibit strong analytical, interpersonal, and communication skills. The ideal candidate should be able to work collaboratively while also confidently taking individual responsibility for matters involving direct client interaction. This attorney will act as a business advisor to clients, guiding them through a comprehensive range of legal issues throughout their lifecycle.
  • Candidates must hold a current license in Illinois or Colorado, or be licensed in another state with a UBE score that qualifies in Illinois or Colorado for comity, be eligible to waive in, or be prepared to take an upcoming IL or CO bar exam (candidates open to relocation who meet these criteria are welcome).
