Key Responsibilities:
- Developing and structuring private real estate funds and various investment vehicles, including REITs.
- Expertise in drafting side letters, private placement memoranda, and subscription agreements.
- Negotiating and drafting purchase and sale agreements for both acquisitions and dispositions.
- Structuring and negotiating supplemental debt transactions involving second mortgages with government-sponsored enterprises (GSEs) and other primary mortgage lenders.
- Reviewing vendor contracts and providing constructive feedback.
- Delivering legal guidance on operational matters at the property level.
Qualifications:
- Juris Doctor (JD) from a prestigious law school.
- A minimum of 7 years of relevant experience in private fund formation, REITs, or real estate transactions.
- Experience in a top-tier law firm.
