Key Responsibilities
  • Legal Advisory: Provide timely and practical legal advice to senior management and various departments on a wide range of issues, including banking regulations and operational matters.
  • Risk Management: Develop strategies to mitigate risks faced by the Bank and consult and guide senior management and various departments in risk mitigation.
  • Training and Guidance: Prepare and provide training and guidance to employees on legal and regulatory requirements and emerging issues.
Commercial Lending and Loan Documentation:
  • Legal Advice and Assistance: Provide legal advice and assistance to commercial lenders related to deal structure and related matters.
  • Loan Document Review: Review and approve commercial loan documents, including reviewing and approving draft loan documents produced in-house and by outside counsel.
  • Collection Efforts: Assist the commercial lenders with their collection efforts, including producing default letters and forbearance agreements.
Regulatory Compliance and Developments/Implementation:
  • Monitoring and Staying Updated: Monitor and stay updated on changes in laws and regulations affecting the banking industry.
  • Compliance Support: Work with the Compliance department to ensure the Bank's policies, procedures, and practices comply with relevant legal and regulatory requirements.
Contract Management:
  • Drafting and Reviewing Contracts: Draft, review, and negotiate various types of contracts, including vendor agreements, ensuring such contracts align with legal and regulatory standards and protect the Bank's interests.
Privacy Compliance and Data Management:
  • Compliance with Data Protection Laws: Advise on compliance with data protection laws.
  • Data Management: Advise on data management, including retention and destruction.
Litigation and e-Discovery:
  • Identifying and Assessing Risks: Identify and assess potential legal risks and develop proactive strategies to mitigate them.
  • Managing Litigation: In coordination with other members of the Legal department and, where necessary, in collaboration with outside counsel, manage and oversee litigation and other disputes and represent the Bank in such matters.
Requirements
  • Education: Juris Doctor (JD) or equivalent legal qualification from an accredited institution.
  • License: Licensed to practice law in Illinois, Florida, or Wisconsin.
  • Experience: Minimum five years of experience in a law firm or in-house, with financial institution or other regulated-industry experience preferred.
  • Skills: Excellent professional and organizational skills, with the ability to prioritize and manage multiple projects/initiatives.
  • Communication Skills: Exceptional written and verbal communication skills, with the ability to convey thoughts and ideas effectively and succinctly.
