Kerwin Associates, a prominent technology firm listed on the stock exchange, is seeking a skilled attorney to join their team as a Corporate Securities Counsel. This role will report directly to the head of corporate securities within the organization.

Key Responsibilities:

  • Ensure compliance with all applicable securities laws, regulations, and guidelines, including public filing requirements and listing obligations;
  • Manage the legal components of quarterly earnings reports and investor communications, offering strategic advice on shareholder matters;
  • Facilitate the legal processes related to Board and Committee meetings, promoting best practices in corporate governance;
  • Support corporate functions by ensuring adherence to insider trading laws, drafting compliance documentation, and advising on director and officer responsibilities;
  • Provide comprehensive legal counsel to various departments including Finance, Accounting, Equity Administration, Tax, Insurance, and Investor Relations.

Qualifications:

  • A minimum of 5 years of experience as a corporate securities attorney, with a background in either a public company or law firm environment;
  • A commitment to fostering a diverse, equitable, and inclusive workplace, with a history of engaging in DEI initiatives;
  • Exceptional verbal and written communication skills, with the ability to distill complex concepts into clear, actionable insights for all organizational levels and external partners;
  • Proven experience in prioritizing key objectives that maximize impact, minimize risks, and ensure effective use of time and resources;
  • Adept at thriving in a fast-paced, dynamic environment, demonstrating resilience in the face of uncertainty;
  • A display of intellectual curiosity and a humble approach to learning.
