Key Responsibilities:
- Legal Advisory: Deliver expert legal guidance to clients regarding project financing structures, terms, and conditions.
- Transaction Structuring: Design and execute financing frameworks for large projects, ensuring adherence to legal and regulatory standards.
- Contract Negotiation: Spearhead negotiations with financial institutions, investors, and other parties to secure advantageous financing terms for clients.
- Documentation: Draft, review, and negotiate financing agreements, loan documents, and related contracts on behalf of clients.
- Due Diligence: Perform comprehensive due diligence on potential financing arrangements, identifying risks and mitigation strategies for clients.
- Compliance: Ensure all financing operations comply with relevant laws, regulations, and firm policies.
- Collaboration: Partner closely with clients, project managers, finance teams, and external advisors to facilitate seamless project execution.
- Risk Management: Identify and manage legal risks associated with project financing, providing strategic solutions.
- Market Analysis: Remain updated on market trends, legal developments, and best practices in project finance.
Qualifications:
- Juris Doctor (JD) degree from an accredited law institution.
- Admission to the state bar and in good standing.
- A minimum of [4] years of experience in project finance, banking, or corporate law.
- Demonstrated experience in structuring and negotiating complex financial transactions.
- Strong comprehension of financial markets, instruments, and regulatory frameworks.
- Excellent analytical, negotiation, and communication skills.
- Ability to manage multiple projects and priorities concurrently.
- Meticulous attention to detail and problem-solving capabilities.
- Experience in a fast-paced, collaborative environment.
Preferred Qualifications:
- LL.M. in Finance or a related discipline.
- Experience with international project financing.
- Familiarity with industry-specific regulations and practices.
