Key Responsibilities:
  • Legal Advisory: Deliver expert legal guidance to clients regarding project financing structures, terms, and conditions.
  • Transaction Structuring: Design and execute financing frameworks for large projects, ensuring adherence to legal and regulatory standards.
  • Contract Negotiation: Spearhead negotiations with financial institutions, investors, and other parties to secure advantageous financing terms for clients.
  • Documentation: Draft, review, and negotiate financing agreements, loan documents, and related contracts on behalf of clients.
  • Due Diligence: Perform comprehensive due diligence on potential financing arrangements, identifying risks and mitigation strategies for clients.
  • Compliance: Ensure all financing operations comply with relevant laws, regulations, and firm policies.
  • Collaboration: Partner closely with clients, project managers, finance teams, and external advisors to facilitate seamless project execution.
  • Risk Management: Identify and manage legal risks associated with project financing, providing strategic solutions.
  • Market Analysis: Remain updated on market trends, legal developments, and best practices in project finance.

Qualifications:
  • Juris Doctor (JD) degree from an accredited law institution.
  • Admission to the state bar and in good standing.
  • A minimum of [4] years of experience in project finance, banking, or corporate law.
  • Demonstrated experience in structuring and negotiating complex financial transactions.
  • Strong comprehension of financial markets, instruments, and regulatory frameworks.
  • Excellent analytical, negotiation, and communication skills.
  • Ability to manage multiple projects and priorities concurrently.
  • Meticulous attention to detail and problem-solving capabilities.
  • Experience in a fast-paced, collaborative environment.

Preferred Qualifications:
  • LL.M. in Finance or a related discipline.
  • Experience with international project financing.
  • Familiarity with industry-specific regulations and practices.
