Corporate Paralegal Job Description

LHH Recruitment Solutions is seeking an experienced Corporate Paralegal to join our team. As a key member of our Legal department, you will play a vital role in supporting various legal functions, including corporate governance, entity management, and intellectual property portfolio management.

Key Responsibilities:
  • Corporate Governance: Assist with corporate governance for global entities, including entity management, filings, and record keeping.
  • Board Support: Support the Chief Legal Officer and Secretary with Board-related duties, such as drafting agendas, collecting signatures, and maintaining resolutions.
  • Intellectual Property: Manage the intellectual property portfolio, including conducting initial trademark searches and gathering materials for renewals.
  • Corporate Agreements: Provide support for standard corporate agreements, including non-disclosure, sales, logistics, and independent contractor agreements, involving initial drafting and review under the supervision of the Chief Legal Officer and Secretary.
  • Corporate Restructurings: Assist with documentation related to corporate restructurings, such as mergers, formations, and dissolutions.
  • Document Management: Draft Powers of Attorney and oversee activities to apostille, legalize, and consularize documents for global affiliates, agencies, and lenders.
  • Administrative Support: Offer light administrative support to the Legal team as needed.
  • Special Projects: Collaborate with other members of the executive team on special projects and initiatives.
Qualifications:
  • Education: Bachelors degree and a minimum of 5 years of experience supporting in-house legal departments is required.
  • Certifications: North Carolina notary certification required. A Paralegal Certificate is preferred.
  • Skills: Excellent interpersonal and communication skills, with the ability to engage with the Board, CEO, and Executive Team. Strong attention to detail, organizational abilities, and multitasking skills. Superior prioritization skills to meet deadlines in a fast-paced environment. Sharp analytical skills and sound judgment for navigating complex issues. Ability to follow instructions and work independently. Commitment to producing high-quality work. Trustworthiness and ability to maintain confidentiality. Proficiency with virtual data rooms for document organization. Proficient in Microsoft Office Suite.
