Job Summary

The Senior Counsel will handle a wide range of capital markets legal matters for investment banking clients, working closely with senior management. Expertise in equity capital markets is required. This role has the potential to manage junior attorneys and will be a hybrid role in a major financial hub.

Key Responsibilities

  • Work closely with the Group Legal Head and other members of the legal team to advise on a wide range of capital markets transactions, from initial public offerings to private placements.
  • Advise senior business partners on a wide range of equity capital markets transactions across various industries.
  • Advise and manage equity offerings, IPOs, follow-ons, and private placements; and debt offerings (US and International).
  • Provide guidance to internal business partners regarding compliance matters pertaining to US securities laws and securities regulations.
  • Work closely with investment bankers, legal colleagues, product-specific groups, and compliance to proactively provide legal advice and serve as a true business partner.
  • Closely manage external counsel to efficiently and cost-effectively manage the execution of a large volume of capital markets transactions.
  • Assist in the management of Counsel and other junior attorneys.

Requirements

  • J.D. from an accredited law school.
  • Member in good standing of the New York State Bar.
  • 10-15 years of experience working at a top-tier law firm in combination with an investment bank supporting capital markets desks (ECMs).
  • Extensive experience within the capital markets space, primarily on the equity side, advising on transactions from start to finish, including IPOs, private placements, PIPEs, SPACs, follow-ons, etc.
  • Experience working with internal clients and stakeholders, particularly investment bankers, product teams, compliance, finance, etc.
  • Understanding of securities laws and regulations.
  • Team player.
  • Strong organizational skills.
  • Management experience is preferred.
