Position Overview:

We are seeking a Legal Counsel with extensive transactional expertise in the development, construction, financing, operation, and maintenance of renewable energy initiatives within the U.S. This role focuses on drafting and negotiating EPC, procurement, and supply agreements, and will be part of Ferrovial Energy's Legal Department, reporting directly to the Head of Legal U.S.

Key Responsibilities:
  • Deliver comprehensive legal guidance to our developer/owner business unit throughout the project lifecycle, from inception to financial closure. This includes drafting and negotiating contracts related to renewable energy projects, such as power purchase agreements, engineering, procurement, and construction agreements, operation and maintenance agreements, asset management activities, and site control documentation.
  • Provide thorough legal support to our EPC Contractor's business unit by drafting and negotiating EPC agreements, procurement contracts, equipment supply agreements, and other related subcontracting and supply chain matters.
  • Facilitate negotiation, mediation, and resolution of disputes among project owners, contractors, suppliers, and subcontractors, and participate in M&A transactions, including due diligence processes.
  • Oversee corporate and filing matters.
  • Offer legal advice to ensure compliance with regulatory requirements and internal policies.
  • Manage relationships with external advisors.
Qualifications and Experience:
  • Juris Doctorate.
  • Active member of a US State Bar (preferably Texas).
  • 5+ years of experience in the renewable/conventional energy sector, either in a top-tier law firm or within the legal department of a leading renewable energy organization.
  • Proven experience representing utilities or independent power producers in drafting and negotiating contracts related to renewable projects.
  • Significant experience representing constructors in drafting and negotiating construction contracts for procurement of EPC and ancillary services, along with contract management support.
  • Experience in real estate, land use, and insurance matters associated with the development of greenfield projects.
  • Familiarity with permitting processes, interconnection, energy law, energy-related tax incentives, and tax equity and debt project financing.
Professional Attributes:
  • Ability to effectively manage tasks and deadlines independently.
  • Strong interpersonal communication, decision-making, project management, and negotiation skills.
  • Proficient in Microsoft Word, Outlook, Excel, and PowerPoint.
  • Fluency in Spanish is an advantage.
