We are in search of an attorney with a minimum of six years of post-JD experience in advising publicly traded companies on disclosure and corporate governance issues, along with other routine matters that arise for these entities.

While there may be opportunities to engage in more transactional aspects of this practice, the primary focus of the attorney will be to manage the day-to-day counseling, reporting, and governance concerns of our public company clientele.

Key Responsibilities include but are not limited to:

  • Reviewing and drafting SEC filings, including 10-Ks, 10-Qs, 8-Ks, and Proxy Statements.
  • Preparing materials related to annual meetings, including scripts, rules of conduct, and timelines, while assisting clients in their meeting preparations.
  • Researching recent developments, such as trends in SEC staff comment letters and modifications to institutional voting policies.
  • Counseling public company clients on ongoing compliance matters, including Regulation FD and Section 16 reporting.
  • Assisting in the annual review of bylaws, governance documents, and corporate policies, such as committee charters and insider trading policies.
  • Organizing and executing benchmarking projects related to practices at other public companies for both client and firm initiatives.
  • Effectively supervising and aiding in the training of junior associates.

Qualifications:

  • Juris Doctor degree.
  • A minimum of six years of experience in public company corporate governance and disclosure.
  • Proven knowledge and expertise in SEC regulations and filing requirements for public companies.

Successful candidates will possess exceptional writing and analytical skills, along with a commitment to contributing positively to a collaborative work environment.

The attorney must be licensed to practice law and in good standing in the state or jurisdiction where the position is based.
