Securities and Capital Markets Legal Associate

We are collaborating with several prestigious Am Law ranked firms to identify talented Securities and Capital Markets Associates for their New York offices.
Qualifications:
- A minimum of three years of experience in a law firm setting, focusing on securities, capital markets, and related transactional work.
- Strong academic credentials are essential.
- Proven experience in representing issuers, underwriters, placement agents, and selling stockholders in various offerings, including public offerings and private placements of debt and equity securities.
- Familiarity with compliance and reporting requirements under the '33 Act and '34 Act is mandatory.
- Experience with listing requirements and complex issues such as tender offers, consent solicitations, and contested board elections is highly valued.
- M&A experience is advantageous but not a prerequisite.
- Admission to the New York Bar, or the ability to gain admission shortly after hiring, is required.
- A history of longevity in employment (3+ years) is strongly preferred.
Compensation and Benefits:
The base salary ranges from $235,000 to $390,000, depending on experience. Additionally, the firms provide attractive bonus structures, comprehensive benefits, hybrid work arrangements, and structured orientation, training, and mentorship programs.
