The Position: In this role, you will manage a variety of legal matters, providing strategic counsel to clients, drafting essential contracts, conducting thorough due diligence, and facilitating negotiations. You will be a key player in our team, dedicated to delivering outstanding legal solutions.

Key Responsibilities:

  • Manage diverse commercial real estate transactions, including acquisitions, dispositions, leasing, title and survey reviews, and financing for both landlords and tenants.
  • Examine title policies and ALTA surveys to confirm compliance with transaction requirements.
  • Draft and review preliminary documentation, secure necessary approvals, amend documents as required, and coordinate execution.
  • Prepare correspondence related to claims, defenses, and disputes arising from agreements.
  • Negotiate and draft leases, amendments, purchase and sale agreements, letters of intent, deeds, and more for both buyers and sellers.
  • Review and oversee agreements with developers, ensuring conditions are met prior to draw disbursement and developer payments.
  • Prepare documents related to purchase and sale agreements, including due diligence, contingencies, title objections, surveys, environmental reviews, closing documents, and wire transfers.
  • Conduct closings and manage post-closing documentation and administration.
  • Research, analyze, and interpret relevant state and federal laws and regulations impacting financial institutions, including the Truth in Lending Act, Real Estate Settlement Procedures Act, and others.

Essential Qualities:

  • Strong analytical skills to identify, research, and communicate legal issues effectively, assess potential risks, and propose alternative actions.
  • Ability to manage multiple projects concurrently, prioritize deadlines, and communicate professionally in a fast-paced environment.
  • Excellent interpersonal skills to engage effectively with internal and external stakeholders at all levels.
  • Outstanding communication, organizational, legal research, writing, and analytical capabilities.
  • Proficient in spotting issues and providing legal advice on complex regulatory matters.
  • Demonstrates a strong work ethic and exceptional interpersonal skills.

Qualifications (Education / Experience):

  • J.D. from a prestigious U.S. law school.
  • Licensed to practice in California (additional state licenses are a plus).
  • 4+ years of experience as an attorney in a reputable law firm or in-house legal department.
  • Preferred experience with financial institutions regulated by the NCUA, OCC, or state regulators.
  • Experience in design-build and commercial lending is advantageous.
  • Candidates with a background in financial services are highly preferred, as our clients primarily consist of financial institutions.
