We are seeking a Legal Counsel to join our esteemed client, a prominent crypto venture fund managing over $8 billion in assets under management (AUM). This pivotal role within the Legal team will focus on supporting various legal aspects including venture financing rounds, commercial contracts, litigation, and a diverse range of other legal responsibilities. The position will report directly to the General Counsel.
Key Responsibilities:
- Facilitate equity and token venture financings from initial term sheet through to closing, including oversight of external legal counsel.
- Draft, amend, and negotiate a variety of commercial agreements.
- Assist portfolio companies with legal documentation, such as board resolutions and stockholder consents.
- Support litigation efforts, intellectual property issues, and other legal matters as required.
- Deliver practical, business-focused legal advice in a dynamic and high-performing environment.
Qualifications:
- A minimum of four years of experience in an early-stage venture capital (ECVC) practice at a leading law firm, specializing in corporate and securities law for venture capital-backed enterprises.
- Extensive experience providing counsel to clients from non-legal backgrounds.
- A strong passion for cryptocurrency and other innovative technologies.
- Proactive and detail-oriented approach to work.
- Ability to thrive in a fast-paced setting with frequently changing priorities.
- A curious mindset with a commitment to personal and professional growth.
- Collaborative team player.
Compensation for this role ranges from $350,000 to $385,000 base salary, commensurate with experience, skills, and responsibilities.
