Key Responsibilities:

  • Support multiple Private Equity Attorneys by drafting various corporate documents.
  • Establish and maintain corporate minute books.
  • Facilitate the closing of corporate transactions.
  • Engage in Mergers & Acquisitions.
  • Develop new document templates.
  • Prepare necessary documentation to ensure compliance with federal, state, and local regulations.

Qualifications:

  • Minimum of 2 years of experience as a Corporate Legal Assistant.
  • Proficient in Microsoft Office Suite, including Word, Excel, and Outlook.
  • Exceptional written, verbal, and interpersonal communication skills.
  • Demonstrates adaptability and a strong desire to learn.

Desired Skills and Experience:

  • Experience in preparing corporate documents for the formation of corporations, partnerships, and limited liability companies.
  • Ability to create and maintain corporate minute books.
  • Experience in closing corporate transactions, including initial public offerings.
  • Exposure to Mergers & Acquisitions.
  • Familiarity with private equity or similar clientele.
  • Knowledge of compliance documentation for federal, state, and local regulations.
