Position Overview

Job Title: Paralegal Consultant

Location: Washington DC

Contract Duration: 6+ Months

Role Summary:

In this role, you will work under the supervision of the Vice President of Corporate Secretary, providing essential project management support for financing initiatives. Your responsibilities will include organizing Board of Director meetings, ensuring adherence to statutory requirements, and preparing various regulatory and stock exchange documents.

Key Responsibilities:
  1. Perform complex administrative tasks for senior executives with minimal supervision.
  2. Facilitate Board of Directors and Committee meetings by:
    1. Drafting resolutions, minutes, and unanimous consent actions; preparing meeting notices; managing meeting materials via a web portal; and assisting in the development of meeting agendas and presentations.
  3. Monitor compliance with SEC, FERC, and NYSE regulations, including the preparation and electronic filing of necessary documents.
  4. Handle accounting functions such as creating payment authorizations and reviewing expenses related to Board members.
  5. Track shareholdings of Board and senior management, assisting in the preparation of SEC-required Section 16 filings.
  6. Coordinate the production and delivery of documents for SEC filings and financing activities, including Supplemental Indentures.
  7. Assist in organizing the Annual Meeting of Shareholders, including scheduling, script preparation, and document distribution for SEC filings.
  8. Prepare due diligence materials, closing checklists, and documentation for corporate transactions.
  9. Utilize PC-based software for word processing, spreadsheets, presentations, databases, and email communications.
  10. Demonstrate the ability to work independently on assigned tasks.
  11. Successfully complete the qualification assessment.
