Role Overview
The Senior Vice President of Legal Affairs is an essential member of the executive leadership team and acts as the principal legal consultant for The Ladders. This position entails managing all legal issues, including corporate governance, regulatory adherence, litigation, contracts, and advocacy. The ideal candidate will be a strategic visionary with robust leadership capabilities and significant expertise in these domains.

Key Responsibilities

Legal Strategy and Leadership
  • Formulate and execute The Ladders' legal strategy in alignment with overarching business goals.
  • Provide strategic legal counsel to the CEO, Board of Directors, and senior management.
  • Direct and oversee the Legal Department, including recruitment, training, and development of legal personnel.
  • Deliver precise and timely legal advice to the CEO and other executives on various legal matters (bankruptcy, partnerships, corporate finance, collections, contracts, real estate, etc.).
  • Optimize legal expenditures through a blend of in-house legal work and effective outsourcing, implementing processes where necessary.

Corporate Governance
  • Ensure adherence to all corporate governance standards and best practices.
  • Advise the Board of Directors on legal and regulatory issues.
  • Prepare and review board materials, minutes, and resolutions.

Regulatory Compliance
  • Supervise compliance with federal, state, and local laws and regulations, particularly those relevant to the financial services sector.
  • Ensure the Compliance Department monitors regulatory changes and advises on their implications for The Ladders.
  • Oversee the Compliance Department and collaborate to establish an effective Compliance Management System for a large organization.

Legal Risk Management
  • Identify and mitigate legal risks facing The Ladders.
  • Work with the Chief Risk Officer to develop and implement policies and procedures to reduce legal exposure.
  • Manage litigation strategies and oversee outside legal counsel.

Contract Management
  • Oversee the Contract Department to ensure thorough review, drafting, and negotiation of various contracts, including client agreements and vendor contracts.
  • Ensure all contracts meet legal and regulatory standards and safeguard The Ladders' interests.

Litigation Management
  • Oversee all facets of litigation and dispute resolution.
  • Manage relationships with external legal counsel and monitor litigation budgets.
  • Represent The Ladders in legal proceedings as necessary.

Ethics and Compliance
  • Foster a culture of ethics and compliance throughout the organization.
  • Develop and deliver training programs on legal and regulatory subjects.
  • Investigate and address legal and compliance issues as they arise.

Qualifications and Skills
  • J.D. degree, with admission and good standing in the relevant state bar.
  • A minimum of 15 years of professional legal experience.
  • Experience in corporate finance.
  • Familiarity with regulatory agencies.
  • Prior experience as General Counsel or Chief Legal Officer.
  • Proven ability to provide strategic legal advice at the executive level.
  • Strong knowledge of corporate law and procedures.
  • Ability to understand external environmental influences.
  • Demonstrated capacity to create legal strategies.
  • High level of professional ethics and integrity.
  • Exceptional analytical and problem-solving skills in complex situations.
  • Strong interpersonal skills with the ability to motivate others.
  • Excellent organizational and follow-up skills.
  • Outstanding oral, written, and presentation skills.
  • Experience in a dynamic, fast-paced environment.
  • Proven strategic leadership and executive management capabilities.

Starting Compensation: $250,000 - $300,000 plus a competitive benefits package.
