Role Overview
SMBC Americas Holdings, Inc. is currently seeking a dedicated and experienced Assistant Corporate Secretary to support the governance functions of the Bank Holding Company (BHC) and its subsidiaries. This position will involve managing board-related activities, ensuring compliance with corporate governance standards, and collaborating with various teams to address legal and risk considerations.
In this role, you will:
- Facilitate the logistics and operations of board meetings and committees, including agenda preparation, material distribution, and minute-taking.
- Assist in the development and implementation of governance-related policies and procedures.
- Maintain accurate corporate records and serve as the primary contact for corporate information.
- Address complex governance issues independently and ensure timely deliverables.
- Provide support to the BHC Board of Directors and its committees, along with related subsidiaries.
- Offer legal advice on corporate governance matters and assist in the preparation of governance documents.
- Collaborate with the Legal department and other business units to manage legal and risk issues effectively.
- Oversee external counsel and service providers as necessary.
Required:
- A minimum of 2-3 years of relevant experience in a law firm or in-house legal department.
- Juris Doctor degree from an accredited law school and active membership in good standing of at least one state bar.
- Strong independent judgment and decision-making abilities.
- Proven ability to manage a diverse workload with multiple deadlines.
- Excellent analytical, oral, and written communication skills.
- Ability to work collaboratively in a complex organizational environment.
- Meticulous attention to detail and strong organizational skills.
- A commitment to continuous learning regarding corporate governance trends and risks.
Desired Qualifications:
- Experience in the banking or financial services sector.
- Familiarity with project management or policy implementation.
- Proficiency in Japanese or experience working with Asian companies.
