Position Overview

We are seeking a Senior Fund Counsel to join our Legal team. This role will primarily involve representing perpetual capital vehicles within the regulatory framework of the 1940 Act, addressing a diverse range of issues including compliance, regulatory matters, capital acquisition, marketing strategies, investor relations, fund structuring, and corporate transactions. The ideal candidate will possess comprehensive knowledge of the retail investment management sector and have substantial experience in drafting and negotiating fund-related documents and materials. Experience in transitioning private market investments into interval funds and tender offer closed-end funds registered under the 1940 Act is highly desirable. This individual will collaborate closely with our General Counsel and Deputy General Counsel throughout the fund formation process.

Key Responsibilities
  • Negotiate various agreements with counterparties, including fund managers, business development companies (BDCs), non-traded real estate investment trusts (REITs), private REITs, and other closed-end funds registered under the 1940 Act.
  • Draft and review offering materials for registered funds and legal documentation for private funds.
  • Assist in ensuring compliance with the substantive provisions of the 1940 Act, particularly those governing affiliated transactions, fund-of-fund arrangements, and advisory and distribution contracts.
  • Provide legal guidance on the implications of introducing new and existing products and services.
  • Coordinate the engagement of external legal counsel on various issues, including regulatory, corporate, and fund investment matters.
  • Review materials to ensure compliance with SEC and FINRA regulations.
  • Draft and review various contracts, non-disclosure agreements, and other legal documents.
  • Conduct ad hoc research projects as needed.
Qualifications
  • A minimum of 5 years of experience in fund formation within the registered fund or mutual fund sector.
  • In-depth knowledge of the 1940 Act.
  • Active member in good standing of the New York Bar or another state or jurisdiction.
  • Experience in a law firm or in-house at an asset management firm is advantageous.
  • Strong interpersonal and leadership capabilities.
  • Willingness to learn and adapt in a dynamic business environment.
  • High level of integrity and professionalism.
  • Organized and detail-oriented with the ability to see the bigger picture.
