Role Summary:

As a Senior Associate or Counsel, you will be instrumental in overseeing a diverse array of securities-related issues. Key Responsibilities:

  • Ensure compliance with public company regulations, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
  • Supervise public and private offerings of securities.
  • Guarantee adherence to national securities exchange listing requirements.
  • Manage reporting obligations through Forms 10-K, 10-Q, and 8-K.
  • Draft proxy statements for annual and special shareholder meetings.
  • Oversee Section 16 reporting duties utilizing Forms 3, 4, and 5.
  • Provide comprehensive corporate governance support, including the preparation of board resolutions, policies, and press releases.
  • Experience with broker-dealer, FINRA, investment adviser, or fund formation is advantageous.

Qualifications:

  • A minimum of 3 years of experience in securities law with a recognized law firm.
  • Solid understanding of public company regulations, securities offerings, and corporate governance.
  • Bar admission is required for the jurisdiction of practice.
  • Demonstrated ability to work autonomously as well as collaboratively.
