Position Overview

The Senior Counsel collaborates with the Assistant General Counsel and Assistant Secretary (AGC) on various legal and contractual matters, ensuring the provision of timely, precise, and risk-aware legal guidance and services.

As a vital member of a collegial and highly effective Legal Department, the Senior Counsel engages closely with other Oceaneers across business units and functional departments to facilitate business operations and enhance profitability in alignment with the Company's strategic goals and core values, under the supervision of the AGC.


Work Environment

  • This role offers the flexibility of a hybrid work environment, requiring at least three days in the office each week unless otherwise approved.
Key Responsibilities

PRIMARY DUTIES

  • Act as a trusted advisor in specialized legal areas as agreed with the AGC, providing support to other AGCs and members of the Legal Department.
  • Deliver accurate, relevant, complete, and timely legal counsel (including document drafting and review, oral or written advice on legal matters, and managing external legal resources) to internal clients, including the AGC, in accordance with Company policies, risk appetite, and budgetary constraints.
  • Ensure that the AGC and other stakeholders are promptly informed of legal issues, risks, and proposed solutions that may materially impact the Company's financial, operational, and reputational standing.
  • Foster adherence to the Code of Conduct, particularly regarding anti-corruption, trade regulations, antitrust, intellectual property, and other legal matters.
  • Draft, review, and provide recommendations to the AGC concerning various commercial contracts, agreements, and corporate transactions, while advising other legal and commercial personnel on these issues.
  • Support the Legal Department and other company stakeholders in transactional matters, such as preparing intercompany agreements, powers of attorney, or responding to compliance inquiries.
  • Assist the AGC in overseeing legal support staff regarding corporate secretarial duties and the maintenance of corporate records, primarily related to the Company's foreign subsidiaries across various regions.
  • Manage the renewal of necessary licenses, permits, and qualifications for entities in relevant jurisdictions.
  • Contribute to the development of processes and automation within the Legal Department, identifying recurring tasks related to the Company's legal subsidiaries and maintaining such information in the Company's database.
  • Oversee the establishment and dissolution of subsidiary entities and branches, including advising on the drafting and negotiation of joint venture agreements as needed.
  • Assist with new market entry as required, conducting research and ensuring that legal requirements are communicated to relevant stakeholders.

As assigned by the AGC:
o Support the AGC in the role of Legal Business Partner to one or more Senior Vice Presidents (SVPs).

This role necessitates close coordination and communication with the relevant SVP(s) regarding business objectives and legal strategies to achieve optimal outcomes, while ensuring compliance with applicable laws and regulations.

o Serve as a global Subject Matter Expert in specialized legal areas, providing support to other members of the Legal Department and other Oceaneers.

o Assist in preparing a range of securities filings under the Securities Exchange Act of 1934 and the Securities Act of 1933.

o Aid in the preparation of filings with the New York Stock Exchange.

o Assist in organizing materials and coordinating agendas for Board of Directors and committee meetings.

o Help maintain corporate governance policies and practices.
o Support document preparation and due diligence for mergers and acquisitions and other corporate restructurings or debt transactions; and
o Assist with ESG matters, including preparing materials and reviewing disclosure requirements and emerging regulations.

SECONDARY DUTIES

  • Stay informed on legislative changes relevant to our business and industry through ongoing education and collaboration with external counsel.
  • Promote best practices in legal, compliance, and risk management by assisting in the design and implementation of relevant company policies and procedures.
  • Contribute to the design and delivery of pertinent legal training for the business.
Qualifications

ESSENTIAL

  • Juris Doctor degree from an accredited institution.
  • Licensed (or eligible to apply for licensure) to practice law in one or more relevant jurisdictions.
  • Minimum of 6 years of legal experience.
  • Proficiency in English.

PREFERRED

  • Experience as in-house counsel for a global enterprise, particularly one with complex technology and service offerings.
  • Background in litigation, labor & employment, or M&A is advantageous.
  • Proficiency in additional languages is a plus, especially Spanish, Portuguese, Norwegian, or Arabic.
