Mergers and Acquisitions Attorney - Risk Management Expert

We are seeking an experienced Mergers and Acquisitions Attorney to join our team at Diedre Moire Corporation. As a key member of our corporate law team, you will be responsible for providing expert advice on mergers and acquisitions, risk management, and insurance products.

Responsibilities:
  • Perform contractual and financial evaluations for companies involved in M&A deals to assess acceptable Representations and Warranties Insurance coverage.
  • Provide transactional risk insurance and review, evaluate, and present analysis of due diligence procedures, operational risks, and potential red flags of mergers and acquisitions deals.
  • Assess accuracy of statements and assurances in the representations and warranties from sellers in mergers and acquisitions transactions.
Requirements:
  • Juris Doctor (J.D.) and 4+ years of mergers and acquisitions experience, insurance industry experience preferred.
  • Strong familiarity with preparing and reviewing engagement letters, confidentiality agreements, indemnification provisions, and risk management analyses.
