Job Summary

The Associate Counsel will play a critical role in our legal team, reporting directly to the General Counsel. This position requires a strong understanding of contract law, corporate law, employment law, and M&A dynamics. The successful candidate will be responsible for drafting, reviewing, and negotiating contracts, as well as collaborating with external legal counsel on complex legal issues.

Key Responsibilities
  • Coordinate M&A due diligence activity and work closely with the M&A integration team.
  • Support the preparation and submission of regulatory filings and statements in compliance with applicable laws and regulations.
  • Conduct legal research and analysis on various legal matters.
  • Develop and implement overall risk management policies, procedures, and forms in line with corporate direction.
  • Develop working relationships with regulatory authorities in all jurisdictions where any corporate entity is authorized or licensed.
  • Recommend and develop company policies and positions on legal issues.
  • Collaborate with HR and management teams to develop and implement policies and procedures that promote a fair and compliant workplace environment.
  • Advise on employment-related matters to ensure compliance with labor regulations.
  • Assist the General Counsel on claims and litigation-related matters.
  • Support the management of the intellectual property portfolio, including copyrights, trademarks, and patents.
  • Counsel engineers and management on intellectual property-related matters.
  • Assist with IP risk assessments and projects as needed.
Requirements
  • A law degree from an ABA-accredited law school.
  • A member in good standing of at least one state bar within the United States.
  • 3-5 years of demonstrated experience in corporate law and legal advisory roles within a corporate environment, preferably in an Architecture and Engineering firm.
