Position Summary:
We are in search of a detail-oriented and proactive Corporate Paralegal who possesses a solid understanding of corporate law and governance. This role is integral to managing subsidiary governance and supporting various corporate projects.

Key Responsibilities:

  • Maintain and organize corporate records, minute books, and files, ensuring the integrity of the subsidiary management database.
  • Assist in the drafting and filing processes for corporate formations, amendments, mergers, and dissolutions.
  • Monitor changes in the board of directors for both U.S. and international subsidiaries, aiding in the preparation and filing of necessary documentation.
  • Respond to requests related to Know Your Customer (KYC) and Ultimate Beneficial Ownership (UBO), providing essential supporting documents.
  • Draft legal documents such as certifications, affidavits, and powers of attorney, and manage the legalization processes.
  • Support internal subsidiary restructurings, including the review and execution of related agreements and resolutions.
  • Assist in mergers, acquisitions, and divestitures, ensuring thorough due diligence and timely execution of deal documents.
  • Participate in the annual entity health check process, updating the entity management database as required.
  • Deliver precise and comprehensive results within established timelines.

Qualifications:

  • Bachelor's degree or equivalent experience in a related field.
  • Paralegal certification from an ABA-accredited institution is preferred.
  • 2-4 years of experience in a corporate legal environment or law firm.
  • Familiarity with entity management and subsidiary governance practices.
  • Proficient in Microsoft Office Suite and quick to learn new software applications.
  • Strong organizational, communication, and analytical skills.
  • Ability to manage multiple tasks and prioritize effectively to meet deadlines.
  • Maintain confidentiality and exercise discretion with sensitive information.
  • Self-motivated with the ability to work independently and collaboratively.
  • Willingness to work onsite with flexible hours.
