Top Tier Reps LLC is in search of a skilled mid-level corporate counsel with a minimum of 3 years of experience in providing legal guidance to publicly traded companies or investment banking institutions. This role is integral to our Capital Markets and Public Companies division.

Key Responsibilities:

  • Advise public companies on compliance with SEC regulations, disclosure requirements, corporate governance, and exchange-related matters.
  • Represent issuers or investment banks in various capital market transactions, including IPOs, SPACs, direct listings, and follow-on offerings.
  • Utilize knowledge of technology and life sciences sectors to enhance client service.

Qualifications:

  • Demonstrated experience in corporate law, particularly in relation to public companies.
  • Exceptional academic background and strong communication skills, both written and verbal.
  • Ability to work collaboratively in a fast-paced environment.
