About the Role

We're seeking an experienced, well-rounded attorney to join our legal team and provide support for corporate and securities matters, including '34 Act and other securities laws compliance, corporate governance, and Board of Director support. The successful candidate will assume significant responsibility for advising business personnel and senior management on securities law and SEC reporting and compliance matters, corporate governance, merger and acquisition transactions, executive compensation, and general corporate matters.

The ideal candidate will have strong experience in corporate governance, SEC reporting, proxy statements, and annual meetings, as well as compensation and benefits, including equity compensation. They will be able to manage a large number and variety of mission-critical projects, working independently and often in an ambiguous environment, utilizing sound and practical business judgment and common sense.

We're looking for a team player who can effectively work with and manage paralegals, assistants, and business clients cooperatively and efficiently. The successful candidate will have a proven ability to work independently and proactively, while also being a team player, on a wide variety of tasks in a fast-paced environment with minimal supervision and the exercise of excellent judgment under pressure.

Basic Qualifications
  • 4+ years of corporate and securities experience, including substantive law firm experience
  • Prior in-house corporate law experience with a global company is a plus
  • Ability to manage a large number and variety of mission-critical projects
  • Team player who can effectively work with and manage paralegals, assistants, and business clients
  • Highest standards of ethics and professional integrity
  • JD and membership in at least one state bar (preferably California or New York)

Salary Ranges

The pay range depicts a base salary range for all positions except commission-based roles. The pay range for commission-based roles represents On Target Earnings (annual base salary + target annual commission). Additional compensation elements may be offered, including an opportunity for bonus incentives and a competitive benefits package.
