Job Summary

Cimpress is seeking a highly experienced Deputy General Counsel to support its legal team. The ideal candidate will have a strong background in transactional law, public company compliance, and corporate governance.

Key Responsibilities

  • Structuring, negotiating, and closing M&A and other strategic transactions
  • Preparing and reviewing public company securities filings, including Forms 10-K, 10-Q, 8-K, Section 16 filings, proxy statements, and earnings disclosures
  • Assisting the Board of Directors and its committees with meeting materials, drafting resolutions and minutes, and advising on governance matters
  • Providing advice on long-term incentive plan administration, drafting award agreements, and reviewing 10b5-1 trading plans
  • Executing debt financing transactions, including credit agreement amendments and bond offerings, and related ongoing compliance
  • Drafting and negotiating complex contracts, including vendor agreements, procurement agreements, and intellectual property licenses
  • Monitoring legal and regulatory changes affecting the business and advising accordingly
  • Supporting corporate development efforts by evaluating potential acquisition targets from both a legal and business perspective
  • Overseeing the administration of Cimpress' global compliance program, including managing the confidential reporting helpline
  • Participating in enterprise risk management reviews to identify and mitigate risks
  • Providing legal support to Cimpress' tax, treasury, investor relations, sustainability, HR, and communications teams
  • Partnering with and managing outside counsel to address complex legal issues efficiently

Requirements

  • Minimum of 10+ years of legal experience, including 6+ years at a nationally recognized law firm with a focus on transactional work
  • Recent experience working at a U.S. publicly traded company, preferably with a global presence, including managing SEC reporting and securities law compliance
  • Excellent project management skills with the ability to multitask, prioritize, and respond quickly in a fast-paced environment
  • Exceptional analytical, negotiation, and communication skills with the ability to simplify complex legal and business issues for diverse audiences
  • Proficiency in analyzing financial statements and valuation models
  • Demonstrated business savvy and executive presence
  • A growth mindset with a commitment to continuous improvement
  • High degree of professionalism, integrity, and sound judgment in all aspects of work
  • Admission to the bar in any state required; Massachusetts bar admission is preferred
