Job Overview:

The Chief Counsel serves as the primary legal authority based in the United States, functioning as a transactional attorney within the global Sustainability & Governance team.

Key Responsibilities:

  • Act as a legal authority, offering daily counsel, insights, and recommendations to the Low Carbon Solutions Business Line.
  • Draft, review, and negotiate project agreements with clients across various jurisdictions for McDermott's Low Carbon Solutions Business Line, which involves evaluating contract terms, pricing/payment schedules, project scope, and execution timelines for contracts valued from millions to billions of dollars.
  • Represent McDermott and the Sustainability & Governance function as a leader in fostering a positive workplace culture.
  • Provide legal oversight and project management support throughout the contract lifecycle.
  • Review and negotiate agreements to align with McDermott's business objectives, including MOUs, joint ventures, partnerships, and NDAs.
  • Support project execution across different jurisdictions and comprehend foreign legal frameworks.
  • Advise on and evaluate financial instruments (e.g., letters of credit, bank guarantees) and project finance documentation relevant to ongoing projects.
  • Engage in management discussions and provide strategic advice on risk management and decision-making.
  • Prepare and facilitate the negotiation and execution of subcontracts and purchase orders.
  • Manage pre-litigation claims and negotiate disputes raised by clients, suppliers, and subcontractors.
  • Identify and advise on compliance and anti-corruption issues; collaborate with the internal Ethics & Compliance team.
  • Design and implement training programs for various teams, including Supply Chain and Contracts professionals.
  • Work with the Sustainability & Governance team to promote an open and inclusive culture and identify process enhancements.
  • Assist in translating prime contract requirements into vendor subcontracts, purchase orders, or existing master service agreements.
  • Draft, negotiate, and finalize agreements with vendors in purchase orders and subcontracts.
  • Participate in industry groups to provide guidance and influence legislation related to the Low Carbon Solutions Business Line.

Essential Qualifications and Education:

  • J.D. from a recognized law school.
  • Licensed to practice law in the United States (preferably Texas or Louisiana).
  • Over 7 years of comprehensive legal experience in the energy or construction sectors, with a focus on management, contract drafting, negotiation, and contract administration.
  • Fluency in Spanish, including legal terminology (comfortable negotiating agreements in Spanish).
  • Adept at navigating a matrix organizational structure.
  • Comfortable with complexity and uncertainty.
  • Able to collaborate with and support executive leadership and McDermott's Board of Directors.
  • Knowledgeable about legal practices in the U.S. and South America.
  • Demonstrated experience in leading teams for large, international corporations.
  • Strong understanding of contract law and practices.
  • Exceptional writing and negotiation skills.
  • Effective communication and presentation abilities.
  • High standards of professional ethics and integrity, sound judgment, and analytical skills.
  • Willingness to travel to Mexico as needed.
