Role Overview

We are seeking a seasoned Associate General Counsel to join our in-house legal team. This role will provide critical legal guidance on a wide range of matters, including commercial contracts, privacy, product development, and compliance. The ideal candidate will have a strong background in Big Law, preferably in a tech transactions team, and experience in the healthcare or employee benefits industry.

Responsibilities
  • Collaborate with the General Counsel to oversee the legal aspects of our business.
  • Provide strategic legal guidance on commercial contracts, regulatory matters, and risk mitigation strategies, with a focus on privacy and HIPAA regulations.
  • Draft, review, and negotiate complex commercial agreements, including SaaS agreements, licensing agreements, vendor agreements, partnerships, and other commercial transactions.
  • Ensure compliance with applicable laws and regulations, particularly in the areas of healthcare, data privacy, and licensing requirements.
  • Work closely with Sales, Customer Success, Product, and Regulatory teams to align legal strategies with business objectives and drive growth initiatives.
  • Stay up-to-date with legal developments, industry trends, and best practices related to commercial contracting, healthcare, privacy laws, and insurance regulations.
  • Provide training and guidance to non-legal staff on contract management processes, policies, and best practices.
  • Lead or participate in projects to improve internal processes and increase the efficiency and scalability of commercial legal support.
Qualifications
  • Juris Doctor (J.D.) degree from an accredited law school and membership in good standing with the state bar.
  • Minimum of 5 years of experience at a reputable law firm (Big Law experience and tech transactions preferred).
  • Expertise in drafting, reviewing, and negotiating technology-related contracts, with a focus on SaaS agreements.
  • Strong knowledge and understanding of privacy and data security issues, with experience navigating HIPAA strongly preferred.
  • Exceptional drafting, negotiation, and analytical skills, capable of understanding and advising on complex legal, regulatory, and business issues.
  • Proven track record of working in a dynamic environment, managing multiple priorities, and adapting to changing business needs.
  • Collaborative, solutions-oriented mindset, with a consultative approach and a strong sense of ownership.
  • Excellent judgment and decision-making abilities to navigate ambiguity and develop creative solutions to complex challenges.
