Key Responsibilities:- Assist with the preparation of routine documents, including incorporation documents, board and shareholder actions, indemnification agreements, and third-party agreements.
- Handle basic stock and option administration, including drafting agreements, preparing reports, and maintaining capitalization records in equity management platforms.
- Conduct blue sky and corporate legal research to support the firm's clients.
- Prepare and handle corporate and securities filings to ensure compliance with regulatory requirements.
- Assist on venture capital financings, debt financings, mergers, acquisitions, and public offerings to support the firm's clients.
- Assist with correspondence to stockholders, directors, and investors to maintain effective communication.
- Assist with due diligence and closing matters, including data room set-up, preparing signature packets, and creating closing volumes.
- Handle daily corporate maintenance work to ensure the smooth operation of the firm's clients.
- Organize client records and maintain files to ensure accurate and efficient record-keeping.
- Bachelor's Degree or Paralegal Certificate.
- Some corporate law firm experience preferred.
- Proficient with Office suite (specifically Excel).
- Detail-oriented, organized, and able to work in a team environment.
- Excellent communication and prioritization skills to manage tasks effectively.
The primary location for this job posting is in Salt Lake City. The actual base pay offered will depend upon a variety of factors, including but not limited to the selected candidate's qualifications, years of relevant experience, level of education, professional certifications and licenses, and work location. The anticipated pay range for this position is as follows: $29.46 - $39.85 per hour.
The compensation for this position may include overtime and a discretionary year-end merit bonus based on performance. We offer a highly competitive salary and benefits package.
