The Corporate Counsel will provide a broad range of legal services to Vertafore, both directly and in conjunction with outside counsel, with a significant focus on intellectual property protection, contract drafting and negotiation, employment law, managing outside counsel, information and risk management, and dispute resolution and settlements.
Key Responsibilities
* Advise the company and senior leadership on a broad range of federal and state regulatory and compliance matters, including identifying areas of risk and making suggestions for improvement.
* Business Partner to Human Resources, management of Labor and Employment matters, including leaves and wage and commission compliance for the global team.
* Manage and sometimes lead privacy and compliance matters internally and externally in coordination with Compliance team.
* Assist General Counsel on litigation related matters.
* Manage the intellectual property portfolio, including copyrights, trademarks, and patents.
* Directly support the Orange Partner Program, including partner vetting and complex partner negotiations and contracting.
* Work with the sales department to review, revise, and negotiate complex technology sales agreements in Salesforce and regarding contract workflow.
Requirements
* JD from an accredited law school with exceptional academic credentials.
* Admitted to practice in at least one state and willingness to submit an application to the Colorado State Bar for admittance if relocating.
* At least 4 years of combined top law firm and/or in-house experience – prior in-house and employment experience is required.
* Extensive experience representing clients in the software and/or professional services related industries.
* Extensive experience with intellectual property, IT, M&A transactions, corporate governance, litigation management, employment law, and commercial contracts: reviewing, drafting, and negotiating a wide range of commercial agreements, including software licensing, SaaS, vendor/procurement or sales/service agreements, real estate, professional services agreements, and non-disclosure agreements.
* Familiarity and experience with laws relevant to the sale and marketing of software, including licensing, data protection/privacy, intellectual property, IT, antitrust, export control, and regulatory compliance.
