Equity Financing Associate

As an Associate at Goldman Sachs & Co. LLC, you will engage with both publicly traded and private entities in Latin America, as well as financial sponsors, to facilitate, structure, and execute equity financing transactions. This includes activities such as initial public offerings, follow-on offerings, block trades, convertibles, and private placements.
Key Responsibilities:
- Assist in live deal execution by managing due diligence processes, investor education, and negotiating underwriting agreements and other legal documentation.
- Organize and participate in both deal and non-deal roadshows, maintaining daily interactions with corporate clients, investors, and other banks involved in the equity syndicate to ensure successful execution and pricing of equity capital markets transactions.
Qualifications:
- A Bachelor’s degree (U.S. or foreign equivalent) in Accounting, Business Administration, Finance, Economics, or a related field is required.
- A minimum of two (2) years of experience in the job offered or a related role is necessary.
Experience Required:
- Proven expertise in structuring and executing Equity, Debt, and M&A transactions for Latin American companies with deal values exceeding $200 million.
- Ability to create macroeconomic and sector market updates for Latin America.
- Proficiency in building and reviewing complex financial models, including operating models, M&A, DCF, and LBO valuations specific to Latin American companies.
- Experience in drafting and reviewing legal documents related to capital markets transactions, including registration statements and underwriting agreements.
- Familiarity with navigating SEC and local regulatory review processes for various equity transactions, including CNBV (Mexico), CVM (Brazil), and CMF (Chile).
- Conduct technical analysis regarding the sizing of equity capital markets transactions and investor targeting across diverse capital pools in Latin America, such as Mutual Funds, Hedge Funds, and Sovereign Wealth Funds.
Additional Skills:
- Knowledge of prior investor participation in Latin American deals is essential.
- Experience in preparing documentation for internal committee deal approvals.
- Ability to synthesize investor feedback to inform pricing and allocations for equity capital markets transactions.
- Proficient in utilizing electronic data sources (including Bloomberg, FactSet, and Capital IQ) for business and industry research, as well as productivity tools (including Microsoft Excel and PowerPoint).
Licensing Requirements:
- Must possess or be able to obtain FINRA SIE, Series 63, and Series 79 within six (6) months of employment.
Travel Requirements:
- This position requires 30% international travel to the Latin American region to engage with clients, with all travel expenses covered by the firm.
Compensation:
- The expected annual base salary for this position is between $174,000 and $225,000, with potential eligibility for a discretionary bonus for active employees at fiscal year-end.
