Position Overview
The Senior Associate Counsel for Corporate Governance is tasked with overseeing the governance framework of the organization and its legal entities, as well as spearheading the corporate governance components related to the integration of newly acquired entities.

Key Responsibilities
1. Provide counsel on the cross-functional initiatives aimed at the integration of recently acquired entities.
2. Oversee the global operations related to legal entity management, including the formation, merger, and dissolution of entities, while ensuring compliance with local legal standards.
3. Support the Board of Directors and its committees by collaborating cross-functionally to prepare meeting materials and board documentation.
4. Assist in drafting proxy statements and other public disclosures, alongside planning and executing the annual stockholders' meeting.
5. Stay abreast of corporate governance best practices and regulatory changes, advising on compliance with relevant standards and policy updates.

Collaboration
This role necessitates substantial and proactive collaboration with colleagues in Legal and Compliance, as well as various departments across the organization.

Work Environment
This position is hybrid, allowing for a blend of remote and office work. Employees in hybrid roles are expected to be present in the office 2-3 days a week, as determined by leadership and site requirements.

Qualifications
Basic:
- Minimum of 5 years of relevant experience with a Bachelor's Degree, or at least 2 years with an Advanced Degree (e.g., Masters, MBA, JD, MD), or no experience with a PhD.
Preferred:
- At least 6 years of experience with a Bachelor's Degree or 4 years with an Advanced Degree (e.g., Masters, MBA, JD, MD), or up to 3 years with a PhD.
- Juris Doctorate from an accredited law school.
- Active membership in good standing with a State Bar, with the capability to become registered as in-house counsel in the relevant state.
- Proficient knowledge of corporate law, governance, and contractual matters.
- Experience in mergers and acquisitions, as well as legal entity management.
- Familiarity with U.S. securities laws and SEC regulations.
- Background in complex cross-jurisdictional projects.
- Experience in an in-house setting or a large law firm.
- Strong ability to foster collaborative relationships with business partners.
- Excellent problem-solving skills with a practical approach.
- Composed under pressure with a positive demeanor.
- Exceptional written and verbal communication skills.

Additional Information
Work Hours: Varies based on departmental needs.
Travel Requirements: This role may require travel 5-10% of the time.
Mental/Physical Requirements: This position will be performed in an office environment, requiring the ability to sit and stand at a desk, communicate effectively in person and via telephone, and operate standard office equipment.

Compensation:
The estimated salary range for this position is between $165,400.00 and $215,000.00 annually, which may include potential sales incentives. Salary may vary based on job-related factors such as knowledge, skills, experience, and location. This position may also be eligible for bonuses and equity.
