Position Overview:

The Regional Transactional Counsel will play a vital role in supporting the residential real estate transactional operations within the designated region. Our legal team manages intricate transactions internally, collaborating closely with division associates from the initial stages of negotiation through to finalization. A strong emphasis on high-quality legal representation and a collaborative team environment makes this region an exceptional place to advance a legal career.

The Regional Transactional Counsel will oversee all facets of the transactional legal responsibilities for the region, which includes drafting contracts and other essential transactional documents.

This role is crucial in facilitating strategic execution and ensuring alignment of activities that require legal guidance across various divisions. The Regional Transactional Counsel will engage directly in complex business dealings, negotiating and drafting significant contracts.

Key Responsibilities:

  • Act as the primary legal advisor on all business transactions, including but not limited to drafting and negotiating purchase and sale agreements, easements, property transfers, financing, and other transactional documents.
  • Conduct thorough reviews of due diligence materials.
  • Negotiate agreements; prepare and review contracts and closing documents; assess community master disclosure agreements.
  • Oversee all elements of the transaction and closing process, including monitoring contingencies, preparing title objections, conducting title and survey reviews, resolving title and survey issues, and preparing closing documentation.
  • Perform additional duties as assigned.

Qualifications:

  • Juris Doctor degree from an accredited law school with excellent academic credentials; must be a current member of the Washington, Oregon, or California bar.
  • A minimum of 10 years of relevant experience in a major law firm or in-house legal department, with a focus on drafting sophisticated real estate documents.
  • Strong knowledge of Washington, Oregon, and California law.
  • Exceptional oral and written communication skills, particularly in contract drafting.
  • Willingness to travel frequently and over long distances.

Compensation Overview: The anticipated base salary for this position ranges from $159,088 to $275,847, subject to adjustments based on qualifications, geographic pay differentials, and operational considerations.
