Position Summary:
We are currently seeking a detail-oriented and proactive Corporate Paralegal with a solid understanding of corporate and general law to manage subsidiary governance and various related initiatives.

Key Responsibilities:

  • Maintain and organize corporate minute books, records, and files, along with managing the Company's subsidiary management database.
  • Assist in the drafting and filing of corporate formations, qualifications, amendments, withdrawals, mergers, and dissolutions.
  • Monitor changes in the board of directors for U.S. and International subsidiaries and aid in the preparation and filing of necessary updates with commercial registers.
  • Respond to Know Your Customer (KYC) and Ultimate Beneficial Owner (UBO) inquiries from internal and external partners, providing required documentation.
  • Draft certifications, affidavits, incumbencies, and powers of attorney, and facilitate legalizations and apostilles.
  • Support internal subsidiary restructurings, including reviewing and executing related agreements, resolutions, and certifications for U.S. and International subsidiaries.
  • Assist in mergers, acquisitions, and divestitures, including conducting due diligence on corporate histories and ensuring timely execution of deal documents.
  • Contribute to the annual entity health check process by updating the entity management database.
  • Deliver precise and comprehensive results within established timelines.

Qualifications:

  • Bachelor's Degree or equivalent experience.
  • Paralegal certification from an ABA accredited institution is preferred.
  • 2-4 years of experience in a corporate legal department, law firm, or similar environment.
  • Experience in entity management, subsidiary governance, and database management (hCue preferred).
  • Proficient in Microsoft Suite with the ability to quickly learn new software applications.
  • Excellent communication, organizational, and analytical skills.
  • Ability to manage multiple tasks and prioritize effectively to meet deadlines.
  • Discretion in handling sensitive information and maintaining confidentiality.
  • Self-motivated with the capability to work independently and collaboratively.
  • Willingness to work onsite with flexible hours.
