POSITION OVERVIEW

We are seeking a seasoned legal professional with expertise in securities, investments, and transactional law to support the Deputy General Counsel. This role will primarily focus on providing legal guidance to the University's Investments Team, which oversees a substantial endowment. The ideal candidate will possess a solid foundation in corporate law and will work alongside other legal professionals on various projects that address the diverse legal requirements of the institution. The successful candidate will demonstrate the ability to operate autonomously while exercising sound judgment and discretion.

KEY RESPONSIBILITIES

Investment and Transactional Responsibilities

  • Deliver legal counsel and support to internal staff involved in endowment management, particularly within the Investments and Investment Operations divisions.
  • Conduct thorough due diligence assessments of prospective investment opportunities.
  • Draft, review, and negotiate contracts and agreements related to various investment transactions.
  • Provide guidance on governance issues concerning investments, including proxies, consents, and fund modifications.
  • Oversee external legal counsel engaged in investment-related matters.
  • Advise the Investment Committee on specific investments, policies, procedures, and fiduciary responsibilities.
  • Inform endowment staff and the Investment Committee about current securities and investment regulations, laws, and market trends.
  • Assist in the establishment and management of specialized investment vehicles.

Corporate Legal Matters

  • Review, negotiate, draft, and interpret commercial contracts.
  • Provide advice on contractual liabilities.
  • Analyze federal, state, and other regulatory statutes and rules.
  • Review and draft internal policies.
  • Manage entity formation, maintenance, and corporate governance.

General Legal Support

  • Offer legal advice to University administrators and staff.
  • Recommend strategies to resolve business and transactional challenges with legal implications.
  • Mentor junior staff and para-professionals.
  • Conduct legal research and prepare written materials.
  • Develop training resources and deliver educational sessions to various departments.
  • Stay informed about legal changes affecting the University and emerging trends in higher education.
  • Identify opportunities to enhance University processes with legal considerations.
  • Collaborate effectively with team members, supporting the University's mission.
  • Perform additional duties as assigned.

QUALIFICATIONS

Education and Credentials

  • Juris Doctorate from an ABA-accredited law school.
  • Strong academic performance at both undergraduate and law school levels.
  • Active legal license in Virginia or eligibility to obtain one.

Experience

  • Minimum of eight years of legal experience, with at least five years in relevant roles.
  • Extensive in-house experience with endowments, foundations, or investment firms, or significant private practice experience in securities and investment management.
  • Proficient in conducting due diligence and drafting investment-related documents.
  • Experience with various asset classes and investment types.
  • Knowledge of investment advisory services and applicable regulations.
  • Experience in corporate governance and compliance.
