About the Role

Aerwave is seeking a highly skilled and experienced Corporate Legal Counsel to join our team as a strategic advisor. As a key member of our executive leadership team, you will be responsible for providing expert legal guidance on all aspects of our business.

Key Responsibilities
  1. Negotiate and Draft Commercial Agreements: Negotiate and draft a wide variety of technology and telecom-related commercial agreements, including multi-jurisdictional transactions, hardware and software sales and licensing, and distribution agreements.
  2. Manage Legal Matters: Manage a diverse variety of legal matters arising out of our operations, including but not limited to telecommunication and construction contracts with property owners, general commercial contracts, mergers and acquisitions, litigation, employment law counseling, training and claim management, intellectual property, regulatory, and legal support of compliance and risk management matters.
  3. Manage Outside Counsel: Manage outside counsel in the completion of legal work in a cost-effective manner.
  4. Provide Risk Management Guidance: Provide counseling and guidance on appropriate risk allocation for strategic and routine business transactions.
  5. Manage Litigation: Proactively and cost-effectively manage litigation and other legal disputes.
  6. Utilize Technology: Use technology to aid in reporting and streamline more routine processes and procedures such as e-billing, budget management, case and deal reporting.
  7. Conduct Legal Analysis: Conduct legal analysis and provide counsel on laws, rules, regulations, and policies.
  8. Monitor Compliance: Consistently guard against and provide timely evaluation of potential risks in contractual, regulatory, compliance, and other legal areas.
  9. Ensure Compliance: Monitor our company's compliance with federal and state regulatory requirements and recommend to our executive leadership team changes or additions to compliance activities.
  10. Develop Compliance Program: Develop and maintain effective controls designed to monitor the effectiveness of our company's compliance program.
  11. Assist with Regulatory Matters: Assist in all legal and regulatory matters, including coordination with coalitions.
Requirements
  • Education and Experience: Juris Doctorate required from an accredited law school. 5-10+ years of legal experience of progressive law firm and/or in-house legal experience in a complex, dynamic, and fast-paced company (preferably with at least 2 years of in-house counsel experience at a telecommunications/technology company).
  • Experience and Qualifications: Experience negotiating and drafting telecom agreements, including software and hardware commercial contracts and license agreements, as well as a variety of vendor contracts and other types of commercial agreements. Registered and in good standing with at least one State Bar and eligible to practice law in the State of Texas.
  • Skills and Abilities: Excellent organizational skills, ability to manage multiple projects at once, follow through and meet deadlines. Strong written and oral communication skills. Strong analytical and negotiation skills. Ability to balance legal risks with business objectives and work cross-functionally. Experience working with telecommunications, WiFi, and multi-family communities. Ability to travel up to 25% of the time throughout the United States.
