As a recognized leader in the SaaS sector for rapidly expanding mid-market companies, BigCommerce is seeking a Commercial Legal Counsel to bolster the company's growth and profitability by offering legal guidance on diverse commercial and strategic transactions within a dynamic environment, while ensuring compliance with legal obligations. This role will engage with senior leadership across various departments.

Key Responsibilities
  • Act as a trusted advisor to multiple company functions, including sales, procurement, strategic business development, and customer success, by providing legal counsel on commercial transactions and a variety of corporate matters.
  • Draft, review, and negotiate a wide array of commercial agreements, such as inbound and outbound SaaS agreements, Data Processing Agreements (DPAs), Data Sharing Agreements (DSAs), referral and strategic partnership agreements, consulting and professional services agreements, and non-disclosure agreements.
  • Provide insights on legal challenges and risks associated with our product offerings and business strategies.
  • Develop and maintain a comprehensive understanding of the company's operations, products, market dynamics, customers, and competitors.
  • Promote compliance in daily activities, including delivering training and guidance on compliance issues.
  • Build rapport and foster working relationships at all organizational levels to encourage proactive engagement with in-house legal counsel.
  • Perform additional legal and business duties as required by the evolving needs of the business.
Qualifications
  • Juris Doctorate (J.D.) with active membership in at least one state bar association.
  • A minimum of 4-5 years of legal experience in a reputable regional or national law firm and/or a fast-paced in-house legal department supporting various business units.
  • Strong academic background.
  • Proficient in contract law and experienced in commercial contract negotiations.
  • Extensive experience in negotiating inbound and outbound SaaS and software agreements.
  • Understanding of data privacy and security considerations, particularly GDPR and CCPA, along with familiarity in compliance, insurance, contract management, and operational law.
  • Excellent interpersonal, communication, and negotiation skills.
  • Adept at translating legal advice into actionable strategies for innovative business teams.
  • Ability to effectively manage and prioritize multiple projects concurrently.
  • Flexible thinker capable of making sound independent decisions.
