P3 Legal Director Job Description

S&B USA is seeking a highly motivated and experienced P3 Legal Director to join our Concessions team. As a key member of our team, you will have the opportunity to contribute to innovative infrastructure projects that benefit communities across the United States.

Key Responsibilities:
  • Manage legal and commercial aspects of P3 projects, including procurement, finance, and construction packages.
  • Develop and review internal corporate agreements with partners and consultants.
  • Draft and review project agreements, construction agreements, and credit support documentation.
  • Manage internal and external legal counsel, and facilitate internal project and investment proposals.
  • Prepare Board materials and internal presentations for legal and commercial activities.
Requirements:
  • Five or more years of substantial and relevant transactional experience in infrastructure, transportation, public procurement, and public and/or private finance matters.
  • Preferred: a university degree in law and member of a state bar association or admitted to practice law in a U.S. jurisdiction.
  • Experience working in private practice and/or on commercial transactions and/or as in-house legal counsel or commercial director at an energy/infrastructure development or construction company.
  • Experience with project procurements for surface transportation, airports, water, government facilities, transit-oriented and mixed-use development, universities, and renewables projects.
  • Excellent drafting, writing, analytical, and advocacy skills, with the ability to successfully interact with clients and colleagues.
  • Familiarity with customary industry agreements and understanding of the laws, regulations, and rules applicable to the US P3 market and construction market.
