Key Responsibilities

As a Corporate Counsel, you will be responsible for managing the corporate affairs of the parent company and its subsidiaries. This includes compliance with relevant international, federal, state, and regulatory laws, overseeing the maintenance of foreign and domestic subsidiaries, supporting international expansion, and advising on entity structuring and related treasury and capitalization matters. You will also advise on and oversee all legal aspects of corporate transactional matters, including M&A, investments, asset-backed credit facilities, securitization offerings, and other strategic corporate and commercial transactions.

Requirements

We are seeking an experienced Corporate Counsel with a strong background in corporate finance and securities law. The ideal candidate will have 10+ years of experience in a combination of law firms and in-house, with a preference for experience in a growth stage tech or fintech company. You will have demonstrated experience working on complex corporate finance and/or other strategic corporate transactions, including acting as the lead legal advisor. You will also have expertise in private company corporate governance and securities law, including advising boards of directors and management on Delaware corporate law matters.
