Position Overview

Origis Energy is in search of a seasoned M&A leader to spearhead and implement the company's strategies for growth in the utility-scale solar and energy storage sectors. The successful candidate will possess a demonstrated history of identifying, assessing, structuring, negotiating, and finalizing lucrative project and portfolio acquisitions.

This role is pivotal, providing leadership to a high-performing M&A team tasked with driving profitable growth and expansion through mergers and acquisitions. This is an opportunity to join a prominent, vertically integrated renewable energy developer with a robust and expanding portfolio of utility-scale solar and energy storage initiatives.

The Senior Director of Mergers & Acquisitions is a full-time position, eligible for a comprehensive employee benefits package, which includes employer-sponsored health insurance, paid time off, a 401(k) plan with employer matching, and additional valuable benefits.

Key Responsibilities

  • Implement the company's M&A strategies in accordance with growth and shareholder return goals.
  • Oversee the origination, analysis, structuring, documentation, and execution of acquisitions and divestitures in the utility-scale solar and storage sectors.
  • Evaluate various markets considering: (1) political and regulatory frameworks, (2) legal and tax implications, (3) electricity market dynamics from financial, legal, supplier, and infrastructure perspectives, and (4) overall market attractiveness for investment.
  • Develop and sustain relationships with advisors, brokers, and developers to identify appealing acquisition prospects and counterparties for divestitures aligned with business objectives and underwriting standards.
  • Conduct thorough project due diligence across multiple functional areas, including Finance, Engineering, Operations & Maintenance, asset management, interconnection, real estate, permitting, environmental, and insurance.
  • Collaborate with internal and external legal counsel to review, negotiate, and finalize purchase and sale agreements, joint development, and partnership contracts.
  • Manage post-acquisition development, financing, and commercial responsibilities and activities.
  • Engage with other departments such as Development, Origination, Project Finance, Engineering, Financial Planning & Analysis, and Accounting regarding transaction specifics and business planning processes.
  • Prepare presentations and analyses required for internal investment committee and Board of Directors approvals.
  • Maintain opportunity pipeline reporting, as well as departmental budgets, forecasts, and acquisition financing requirements.
  • Investigate and lead enhancements in acquisition opportunity evaluation and analysis.
  • Handle various internal administrative tasks necessary to support acquisitions.
  • Provide hands-on leadership, guidance, mentorship, training, development, and performance management to the M&A team.
  • Ensure that the M&A team is appropriately sized and structured to meet the business's needs.

Preferred Qualifications

  • Bachelor's Degree in Finance, Business Administration, Economics, or a related field.
  • A minimum of 10 years of relevant experience in the renewable energy sector, focusing on business development, M&A, project finance, or corporate development.
  • Experience in an executive leadership capacity, preferably within a renewable energy development or Independent Power Producer (IPP) firm.
  • Advanced understanding of solar, solar + storage, and standalone storage markets and their economics.
  • Established connections with advisors, brokers, and developers in the renewable sector.
  • Proficiency in Financial Modeling and Valuation of relevant projects and markets, including advanced Excel capabilities.
  • Strong commercial, technical, analytical, and innovative transaction structuring skills.
  • Detail-oriented with a commitment to accuracy and thoroughness.
  • Excellent interpersonal skills and the ability to collaborate in a team-oriented environment.
