Job Overview

LHH Recruitment Solutions is seeking a Corporate Legal Assistant for a prestigious law firm. This position offers a hybrid work arrangement, requiring only 10 days in the office each month.

Position Summary: Become a vital part of a thriving corporate division that has recently expanded operations. This role is tailored for an experienced professional ready to contribute immediately.

Key Responsibilities:

  • Support the structuring and execution of mergers and acquisitions (M&A) and financing activities, which includes performing due diligence, drafting necessary documents, and coordinating closing processes. (Extensive M&A experience is essential)
  • Assist in private equity transactions, encompassing fund formations and subscription agreements.
  • Conduct, evaluate, and summarize UCC and other lien investigations.
  • Prepare UCC filings (initial and amendments).
  • Oversee the formation and registration of various entities, including corporations, LLCs, and partnerships across the United States.
  • Prepare and submit SEC Form D and ensure compliance with state blue-sky regulations.
  • Draft board and shareholder resolutions related to transactions, ensuring adherence to corporate formalities.
  • Perform additional tasks as required.

Qualifications:

  • A Bachelor's degree is preferred.
  • 8+ years of legal experience, particularly in M&A, private equity, corporate governance, and entity formation.
  • In-depth understanding of corporate law principles and practices.
  • Outstanding legal drafting capabilities.
  • Proven ability to manage multiple projects and meet deadlines efficiently.
  • Experience in handling complex M&A transactions and private equity agreements.
  • Excellent organizational, communication, and interpersonal skills.
  • Meticulous attention to detail and a strong commitment to accuracy.

Compensation and Benefits:

  • Salary range: up to $140,000
